These Terms and Conditions govern the purchase and use of the software products (plugins) offered through the website Giosuite.com. By placing an order, the user fully accepts these terms.

1. Object of the Service

Giosuite.com provides digital software plugins. These products are intended exclusively for professional or personal use. The purchase grants the right to use the software in accordance with the license plan selected at the time of the order.

2. License Plans and Limitations

The licenses provided are annual and are divided into the following categories:

  • 1-Site License: Authorizes the use of the software on one (1) single domain/website.
  • 3-Site License: Authorizes the use of the software on a maximum of three (3) domains/websites owned by the user.
  • 30-Site License: Authorizes the use of the software on a maximum of thirty (30) domains/websites owned by the user or their direct clients.

Prohibitions: It is strictly forbidden to resell, sub-license, distribute, or share the source code or activation keys with third parties. Using the software on a number of domains exceeding the amount purchased constitutes a breach of contract and will result in the immediate suspension of the license without any right to a refund.

3. Duration, Updates, and Technical Support

  • Validity: The license is valid for 365 days (1 year) from the date of purchase.
  • Updates: The license holder is entitled to access software updates for the entire duration of the license.
  • Technical Support (Bugs): Support included in the price is limited exclusively to the reporting and resolution of actual bugs found in the software. A “bug” is defined as an objective malfunction of the plugin relative to the functionalities declared by the Vendor. The Vendor reserves the right to evaluate the nature of the report.
  • Extra Interventions: Requests for support regarding personal configurations, graphic or functional customizations, integrations with themes or third-party plugins, or the resolution of issues not directly dependent on the Vendor’s code are not included in the license price. Such interventions must be agreed upon in advance via email and, if accepted by the Vendor, will be subject to a separate economic quote based on the complexity of the requested work.
  • Expiration: Upon expiration of the annual period, the software will continue to function (“as is”), but the user will lose access to new updates and technical support. License renewal is optional.

4. Disclaimer of Warranty (“As Is”)

The software is provided “as is,” without warranties of any kind, either express or implied. The Vendor does not guarantee that the software is free from errors or that it is compatible with every hardware configuration, theme, or third-party plugin. The user is solely responsible for verifying the compatibility of their digital environment before purchasing. The Vendor disclaims all liability for malfunctions caused by conflicts with third-party software, unsupported CMS updates, or modifications made by the user to the source code.

5. Limitation of Liability

To the maximum extent permitted by law, the Vendor shall not be liable for any direct, indirect, special, incidental, or consequential damages (including damages for loss of profits, business interruption, loss of data, or other pecuniary losses) arising from the use or inability to use the software, even if the Vendor has been advised of the possibility of such damages.

6. Right of Withdrawal and Refunds

Pursuant to Art. 59, paragraph 1, letter o) of the Consumer Code (Legislative Decree 206/2005), the right of withdrawal is excluded for digital content provided on non-material media, if execution has begun with the user’s express agreement. By downloading the software or activating the license key, the user expressly acknowledges losing the right of withdrawal.

7. Invoicing and Billing Policy

7.1. Electronic Invoicing (Italian Customers): In accordance with current Italian tax regulations for “Regime Forfettario,” all invoices are issued as electronic invoices (Fattura Elettronica) and transmitted to the Italian Revenue Agency via the Sistema di Interscambio (SdI). You will be able to access and download your legal invoice directly through your personal “Cassetto Fiscale” or the official “Fatture e Corrispettivi” portal.

7.2. International Invoicing (Non-Italian Residents): For customers residing outside of Italy, the invoice will be issued in digital format and transmitted via the Sistema di Interscambio as required by law. A digital copy of the invoice will be sent to the email address provided during the checkout process for your records.

7.3. Courtesy Copy (All Customers): For your convenience, we provide an automated “courtesy copy” (PDF) of the invoice via email immediately following the confirmation of your payment. Please note that this document is for information purposes only and does not constitute a legal tax document. The only valid fiscal document is the electronic invoice issued and stored by the Italian Revenue Agency. By accepting these terms, you acknowledge that the courtesy copy has no legal tax value and is provided solely to facilitate your internal accounting.

8. Governing Law and Jurisdiction

These Terms and Conditions are governed by Italian law. Any dispute arising from the interpretation or execution of these Terms and Conditions shall be subject to the exclusive jurisdiction of the Court of Catanzaro, except for disputes with consumers, for which the mandatory jurisdiction shall be that of the place of residence or domicile of the consumer, as provided by the Italian Consumer Code (Legislative Decree 206/2005).
